Senior Legal Counsel

The legal support covers a broad range of all aspects of law. The work involves different tasks and responsibilities such as:

•    Advising and providing legal support in specific legal core areas and/or adjacent areas, projects and transactions supervised by Associate General Counsel. Legal core areas include  such as commercial law, contract law, corporate law, IP/ licensing, antitrust, compliance and construction law. Adjacent areas are areas which fall under the responsibility of the legal department but which are not core legal areas. Examples of adjacent areas are contract administration, insurance,  real estate, data protection, TSCA legislation and regulatory law, trademark management and labour law.
•    Being the primary or secondary point of contact and a strategic business partner for the US and South American operations and management, ensuring their legal support in legal core areas and/or adjacent areas independently in less complex matters or under supervision of the Associate General Counsel in complex matters or matters that require higher board approval.
•    Acting as the management’s and business’ legal sparring partner during the day to day business.  
•    Drafting, reviewing and negotiating any type of contracts.
•    Working closely with other support functions as well as other members in the Legal Department
•    Managing claims and litigations.
•    Ensuring compliance with applicable corporate laws and/or internal corporate rules 
•    Being an “Ethics Ambassador” and giving training of Borealis employees on a regular basis on ethics topics.
•    Assisting in selecting, contracting and supervising external lawyers in transactions and/or  projects ensuring that Borealis’ standards and goals are safeguarded.
•    Monitoring legal developments (legislation, case law) and updating the legal department as well as the business partners on important developments.
•    Developing, organizing and conduct internal trainings related to legal core and/or adjacent areas. 

The legal support involves several interfaces such as:

•    Various business functions to coordinate adherence to laws and internal legal related processes
•    Cross-organisational involving leaders of all Borealis businesses and functions and entail hands-on and day-to-day legal advice on contracts, disputes and regulatory framework 
•    Partners, customers, suppliers and authorities
 

About you

Requirements:

•       US Law degree 
•       LLM (postgraduate master of laws) or comparable additional education would be an advantage
•       Additional education in engineering/chemistry would be an advantage
•    Fluency in English and another language
•    Minimum 7-10 years relevant work experience in reputable international law firms or in the legal departments of international companies. The latter is highly desirable. 
•    Exposure to various jurisdictions and liaising with senior leaders
•    Excellent presentation and communication skills
•    Excellent contract drafting
